- Organization, Management, and Control Model (MOGC 231): our governance system is based on MOGC 231, adopted in accordance with Legislative Decree 231/2001. This model is a set of protocols, procedures, and internal controls aimed at preventing the commission of criminal and administrative offenses that could damage the company. The adoption of MOGC 231 demonstrates our commitment to operating lawfully and promoting a corporate culture based on legality.
- Supervisory Body (SB): to ensure the correct application and effectiveness of MOGC 231, we have established a Supervisory Body (SB). The SB is an autonomous and independent body with the task of supervising the functioning and compliance with the Model. The SB has the power to conduct inspections, receive reports, and propose updates to MOGC 231 to ensure that our risk prevention system is always efficient.
- Whistleblowing: we firmly believe that transparency is the key to effective governance. For this reason, we have implemented a whistleblowing system that allows employees, collaborators, and third parties to report, confidentially and securely, any misconduct or ethical violations within the organization. This tool is essential for promptly identifying improper behavior and taking action to prevent it, protecting the whistleblower from any retaliation.
- Board of Statutory Auditors and External Auditors: financial and accounting management is subject to rigorous oversight. Our Board of Statutory Auditors, an internal control body, is responsible for monitoring compliance with the law and articles of association, adherence to principles of proper administration, and the adequacy of the organizational structure. In parallel, a team of independent external auditors verifies the accuracy of our accounting and the truthfulness of the financial statements, ensuring reliable and transparent financial management.
